Promotion Regulations “Live Without a Mortgage”

1. General Provisions

1.1. These regulations define the terms of participation in the “Live Without a Mortgage” promotion (hereinafter: “Promotion”), organized by OGC 1 Sp. z o.o., headquartered in Warsaw, ul. Jagiellońska 88, 03-215 Warsaw, registered in the National Court Register under KRS number 0000557015.

1.2. The Promotion applies to the purchase of one of 30 selected residential units of various sizes (hereinafter: “Units”) offered by the developer as part of the “NOW” Development Project, located in Łódź at 18 Dowborczyków Street. The list of Units included in the Promotion is an appendix to these Regulations.

1.3. The Promotion is valid from January 15, 2025, to April 15, 2025, or until all Units covered by the Promotion are sold out.

2. Participation Terms

2.1. A participant in the Promotion may be a natural person (hereinafter: “Buyer” or “Participant”), who, during the Promotion period, signs a developer agreement for the purchase of a Unit included in the Promotion.

2.2. Participation requires acceptance of these Regulations and fulfillment of the conditions specified in Sections 3 and 4.

2.3. A single person may enter into a developer agreement for only one Unit covered by the Promotion.

2.4. The Promotion does not apply to persons whose reservation or developer agreement within the NOW investment was terminated within six months before the Promotion Period.

2.5. The Organizer reserves the right to exclude specific units from the Promotion, informing the Participant of such exclusions before signing a reservation or developer agreement.

2.6. The right to participate in the Promotion expires if: the Participant withdraws from the reservation agreement, the agreement is terminated for any reason, the Participant fails to pay the reservation fee, or the developer agreement is not signed within the reservation agreement’s deadline or the first installment according to the payment schedule is not paid.

2.7. The Organizer reserves the right to cancel the Promotion at any time.

2.8. The Organizer reserves the right to modify the Promotion’s terms at any time with future effect.

3. Payment Terms

3.1. The Unit’s price, according to the applicable price list (hereinafter: “Unit Price”), is payable as follows:

20% of the Unit Price as the first payment, made upon signing the developer agreement, of which 10% constitutes a deposit under Article 394 of the Civil Code.

20% of the Unit Price payable before receiving the Unit.

Monthly installments of 3,000 PLN for 18 months after the Organizer obtains the Building Use Permit.

The remaining Unit Price payable before the transfer of ownership, i.e., after 18 months from obtaining the Building Use Permit.

3.2. The ownership transfer agreement will be concluded no later than 19 months after obtaining the Building Use Permit.

3.3. The Unit Price and its monthly installments mentioned in section 3.1 are not subject to interest, additional costs, commissions, or fees.

4. Security Measures

4.1. The following security measures apply within the Promotion:

A deposit of 10% of the Unit Price, forming part of the first payment.

The Buyer’s declaration of submission to enforcement under Article 777 § 1(4) of the Civil Procedure Code regarding vacating the Unit in case of withdrawal from the developer agreement, submitted no later than the signing of the developer agreement.

The Buyer’s declaration of submission to enforcement under Article 777 § 1(5) of the Civil Procedure Code regarding payment of installments during the 18-month period between the Unit handover and the ownership transfer agreement, submitted at the time of signing the developer agreement.

Deposit of consent for deleting the claim from the Unit’s land register in case of withdrawal from the developer agreement at the time of signing the developer agreement.

Obligation to restore the Unit to its original condition (as of the handover date) in case of withdrawal from the developer agreement due to the Buyer’s fault. If this obligation is not fulfilled, the Buyer waives claims for reimbursement of expenses incurred on the Unit.

4.2. The Buyer’s rights under the Promotion cannot be transferred to a third party. The Organizer commits to granting consent for the transfer of rights and obligations from the developer agreement only upon prior modification of the developer agreement, adjusting the payment schedule to match the investment progress. Consent will only be granted if the Buyer has no outstanding financial obligations to the Organizer.

5. Personal Data Processing

5.1. The administrator of the personal data of Promotion participants is OGC 1 Sp. z o.o., registered in the National Court Register under KRS number 0000557015.

5.2. Personal data is processed to implement the Promotion and fulfill the developer agreement under Article 6(1)(b) of the General Data Protection Regulation (GDPR) 2016/679.

5.3. Participants have the right to access, correct, delete, restrict processing, transfer, and object to the processing of their data.

5.4. Personal data will be processed for the duration necessary for the Promotion and resulting legal obligations.

6. Complaints

6.1. All complaints regarding the Promotion must be submitted in writing to the Organizer’s address.

6.2. A complaint must include: the Client’s full name, correspondence address, email address, and a precise description of the complaint’s reason and expected resolution.

6.3. The Organizer is obliged to respond to the complaint within 21 days of receiving it.

6.4. Complaints that contradict these Promotion Regulations will be rejected.

7. Final Provisions

7.1. The Organizer reserves the right to verify the Buyer’s financial credibility.

7.2. The Organizer reserves the right to modify these Regulations during the Promotion, provided that the changes do not infringe on the acquired rights of Participants.

7.3. Matters not regulated by these Regulations shall be governed by the Civil Code.

7.4. This Promotion cannot be combined with other promotions conducted by the Organizer and OKAM Capital Group companies unless specified otherwise by the Organizer. Participation in the Promotion is voluntary.

7.5. These Regulations come into effect on January 15, 2025.
